ARTICLE I - NAMING 1. The name of this organization is and shall be the Jeannette Business Association, Inc. hereafter referred to as the JBA. 2. These by-laws constitute the operating procedures to define, interpret, and enforce the conduct and regulations of its affairs. ARTICLE II - MEMBERSHIP 1. Members shall be individuals and / or businesses having membership rights in accordance with the provisions of these by-laws. Each member shall have one vote and may designate its voting delegate and/ or alternate in such fashion as the JBA shall require. 2. Classification of members shall consist of Business Owners, Operators, and Individuals as follows:- Owners - persons in sole ownership of an established place of business.
- Operators - persons managing a business in which they are responsible for.
- Individual - person delegated by a respective business.
- Advisory Board - this board is composed of all past presidents of the JBA. This board will be responsible to give advice on any matter that may be addressed.
3. Dues shall be payable to this organization by the members of each class, and will be in the amount established by the membership. Sixty Dollars ($ 60.00) shall be payable annually on a calendar year basis; however, the membership may establish a pro rated annual dues for new members who join the organization during the course of the year, which are payable upon joining. 4. The membership shall meet monthly, at such times and places as may be established by the membership. Notice of special meetings shall be provided to all members at least ten (10) days before the meeting. 5. The business of the JBA shall be conducted in an orderly fashion and in accordance with the Robert’s Rules of Order. 6. The officers shall make periodic reports to the membership at monthly meetings. 7. Each member or a designate of the member’s business is encouraged to attend monthly meetings to remain in good standing with the JBA. ARTICLE III - OFFICERS
1. The organization shall elect officers annually at the December meeting for the following year. 2. Only members who have paid their annual dues may vote for the election of new officers and / or be considered for the election as an officer. 3. All officers shall hold office for at least one (1) year, but not more than three (3) consecutive years. 4. Definition of Officers shall be: - President - shall preside at all meetings of the organization, see that all orders and resolutions are carried into effect, and shall sit ex officio on all committees and duties of supervision and management.
- Vice President - shall participate in the affairs of the organization and shall conduct the business meetings of the organization in the absence of the President. In the event of a vacancy in the office of President, he shall serve the unexpired portion of term. Should the Vice President be unavailable to serve, the membership shall conduct a special election to fill the vacancy.
- Secretary - shall maintain accurate written minutes of the meetings of the organization and shall read minutes of the preceding meeting at the beginning of each meeting approved by the membership. Moreover, the Secretary shall be responsible for all written notices and communications to the membership.
- Treasurer - shall be responsible for the financial affairs of the organization, subject to the approval of the membership. The Treasurer shall deposit all organization funds into the approved depository, and present financial reports to the membership at each meeting.
5. In the event of vacancies in any elective office of the organization, the membership shall conduct a special election to fill the unexpired portion of the term of office of the then vacant position. ARTICLE IV - VOTING
1. Voting shall require at least 3 members from the membership forum to be present to conduct any vote on subject matter, or election of officers. 2. Each member may vote on any submitted contents and/ or subject matter, and may appeal any portion of the item presented to the membership. ARTICLE V - FINANCIAL INSTITUTION
1. The membership shall designate a local financial institution as the depository for the organization.
2. All disbursements of funds shall be in the form of a bank check, with the countersignature of the designated persons.
ARTICLE VI - COMMITTEES
1. The organization shall maintain committee groups as needed and shall be voluntary as accepted by the membership.
ARTICLE VII - SUMMARY
1. These by-laws may only be amended or repealed after being read in their entirety at three (3) consecutive meetings and then voted upon by membership.
2. These by-laws supersede all prior duly adopted or amended By-laws of the organization, which have deemed to have been repealed by the adoption of this set of by-laws.
